**Digital Distribution Agreement**

This **Digital Distribution Agreement** (“Agreement”) is entered into by and between:
- **CineFlix India** (“Distributor,” “we,” “our,” or “us”), having its principal place of business at Basant Bahar, Juhu Tara Road, Juhu, Mumbai, Maharashtra, 400049, India;
- **Content Owner / Licensor** (“Licensor,” “you,” or “your”), the rights holder of the content being licensed.
Collectively referred to as the “Parties.”
By signing or electronically agreeing to this Agreement, the Licensor authorizes CineFlix to distribute the content under the terms described below.

### 1. Grant of Rights
1.1 Licensor hereby grants CineFlix a **non-exclusive / exclusive** (as applicable) license to **distribute, broadcast, stream, and display** the licensed content via CineFlix’s OTT platforms, website, mobile apps, smart TVs, and partner networks globally.
1.2 The license includes the right to:
- Transcode, compress, and adapt content for platform compatibility
- Use trailers, clips, thumbnails, and metadata for marketing and promotion
- Monetize the content through subscriptions, ads, or pay-per-view
1.3 Licensor retains all other rights not explicitly granted under this Agreement.

### 2. Licensed Content
2.1 Licensor shall provide CineFlix with all content, including:
- Video files in agreed formats
- Audio files, subtitles, and dubbing (if applicable)
- Artwork, metadata, and promotional materials
2.2 Licensor warrants that it has full legal authority to license the content and that the content is **free from any claims, liens, or encumbrances**.

### 3. Term

Renewals must be agreed upon in writing by both parties.

### 4. Compensation & Revenue Sharing

### 5. Representations & Warranties
Licensor represents and warrants that:
- It owns or has obtained all rights and permissions required to license the content.
- The content does not infringe any third-party copyright, trademark, or intellectual property rights.
- The content complies with applicable Indian laws and regulations, including censorship rules.

### 6. Indemnification
Licensor agrees to **indemnify and hold harmless CineFlix**, its affiliates, and employees from any claims, damages, or legal expenses arising out of the content or breach of this Agreement.

### 7. Termination
CineFlix may terminate this Agreement immediately if:
- Licensor breaches any terms of this Agreement
- The content violates any law or regulatory requirement
- CineFlix discontinues the platform or feature
Upon termination, CineFlix will stop distribution of the content, except for archival or compliance purposes.

### 8. Confidentiality
Both Parties agree to maintain the confidentiality of business, financial, and technical information exchanged under this Agreement and not disclose it to third parties without prior written consent.

### 9. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of **India**. All disputes shall be subject to the exclusive jurisdiction of the courts in **Mumbai, Maharashtra**.
