**Content Upload & Creator Agreement**

This **Content Upload & Creator Agreement** (“Agreement”) is made between **CineFlix India** (“CineFlix,” “we,” “our,” or “us”) and the **Content Owner/Creator** (“you,” “your,” or “partner”) who uploads or submits content to the CineFlix platform (app, website, or partner network).
By uploading, submitting, or licensing any content to CineFlix, you agree to the following terms:

### 1. Ownership & Rights
You confirm that:
- You are the rightful owner or have full legal authority to upload or distribute the content on CineFlix.
- Your content does not violate or infringe upon the copyrights, trademarks, or privacy rights of any third party.
- You grant CineFlix a **non-exclusive, worldwide, royalty-free license** to host, stream, distribute, and promote your content on all CineFlix platforms, apps, and digital channels.

### 2. License Terms
By uploading or licensing your content, you grant CineFlix:
- The right to **display, stream, broadcast, and distribute** your content globally across OTT, web, mobile, and smart TV platforms.
- The right to use **thumbnails, stills, clips, and metadata** for marketing and promotional purposes.
- The right to **transcode, compress, or modify file formats** for technical compatibility without altering the creative integrity of the content.
You retain all original ownership rights to your content unless a separate distribution contract specifies otherwise.

### 3. Content Guidelines
You agree not to upload:
- Pornographic, hateful, or defamatory material
- Unauthorized copyrighted material
- Content that promotes violence, discrimination, or illegal activities
CineFlix reserves the right to reject or remove any content that violates our policies or legal standards.

### 4. Monetization & Revenue Sharing
If your content is monetized under a CineFlix program (ads, subscriptions, pay-per-view, or licensing), your revenue share and payment schedule will be governed by a **separate Creator or Distribution Agreement** provided by CineFlix.

### 5. Representations & Warranties
You represent and warrant that:
- All information provided to CineFlix is accurate and true.
- You hold all necessary permissions, licenses, and releases for any third-party material used in your content (music, actors, locations, etc.).
- Your content complies with Indian and international copyright and broadcasting laws.

### 6. Indemnification
You agree to indemnify and hold harmless **CineFlix India**, its officers, employees, and affiliates from any claims, damages, or expenses arising from your content or breach of this Agreement.

### 7. Termination
CineFlix may remove or terminate access to your content if:
- You breach this Agreement or any CineFlix policy.
- The content violates copyright or legal standards.
- CineFlix discontinues the platform or specific features.
Upon termination, CineFlix will cease distribution of your content, except for archival or legal compliance purposes.

### 8. Governing Law
This Agreement is governed by the laws of **India**, with exclusive jurisdiction in the courts of **Mumbai, Maharashtra**.
